Section 8 (NGO) Company Registration
Register your NGO as a Section 8 company — the most credible structure for non-profits, with licence, incorporation and tax-exemption guidance.
- Highest NGO Credibility
- Tax Exemptions (12A & 80G)
- Limited Liability
What is Section 8 (NGO) Company Registration?
A Section 8 Company is a non-profit registered under the Companies Act, 2013 for promoting charity, education, art, science, sports, environment or similar objects. Profits are applied to the cause — no dividends — and it is the most credible NGO structure for raising CSR funds, grants and foreign contributions.
Taxwapsi handles the specialised process end to end: DSC and name approval (no “Limited” suffix needed), the Section 8 licence application, MOA/AOA tailored to your charitable objects, and SPICe+ incorporation with the ROC.
After incorporation we guide you through 12A and 80G registrations (income-tax exemption for the NGO and tax deduction for your donors), CSR-1 filing to receive corporate CSR funds, and NGO Darpan enrolment — so your organisation is fully funding-ready.
Expert Pro Tip
Apply for 12A and 80G immediately after incorporation — donors and CSR funders almost always ask for 80G, and provisional registration for new NGOs is now quick under the revamped regime.

Regulated by the MCA with audited financials — preferred by CSR donors, grant agencies and government bodies over trusts and societies.

Start with any amount — and no stamp duty on Section 8 incorporation documents in most states.
CSR & FCRA Eligible
Eligible to receive corporate CSR funds (via CSR-1) and, after 3 years, foreign donations under FCRA.

Frequently Asked Questions
Section 8 company vs Trust vs Society — which is best?
Section 8 offers the strongest governance, national recognition and donor confidence — best for CSR and institutional funding. Trusts are simpler and suit family philanthropy; societies suit membership organisations. For serious fundraising we recommend Section 8.
How many people are needed to start a Section 8 company?
Minimum 2 directors and 2 shareholders (can be the same individuals) for a private Section 8 company. At least one director must be resident in India.
Can a Section 8 company make profits?
It can generate surplus, but every rupee must be applied to its charitable objects. Dividends to members are prohibited, and remuneration must be reasonable.
What are 12A and 80G registrations?
12A exempts the NGO’s income from income tax; 80G entitles your donors to claim a deduction (generally 50%) on donations. Both are applied via Form 10A — new NGOs get provisional registration valid 3 years.
Can a Section 8 company receive CSR funding?
Yes — after filing Form CSR-1 with the MCA. Many corporates also expect 12A/80G and a track record, which we help you plan for.
Can it receive foreign donations?
Only after FCRA registration, which generally requires 3 years of existence and ₹15 lakh spent on core activities. Prior-permission route is available for specific foreign grants before that.
What are the annual compliances?
Statutory audit (mandatory regardless of turnover), AOC-4 and MGT-7 filings, ITR-7, board meetings, and renewal/maintenance of 12A/80G. Non-compliance can lead to licence revocation.
How long does registration take?
Typically 3–4 weeks end to end, since the ROC scrutinises the objects and financial projections along with the licence. Well-drafted objects (our speciality) avoid resubmissions.
