Frequently Asked Questions
What is the process for a change within the same city?
The simplest case: board resolution + INC-22 within 30 days with premises proof. No shareholder approval or RD involvement. Typically complete within days of document readiness.
What changes when I move to another city in the same state?
A special resolution (75% shareholder approval) is required, filed via MGT-14, followed by INC-22. If the move crosses ROC jurisdictions within the state (relevant in Maharashtra and Tamil Nadu with dual ROCs), Regional Director confirmation in INC-23 also applies.
How does a state-to-state shift work?
It amends the MOA's situation clause: special resolution → MGT-14 → RD petition (INC-23) with newspaper advertisements (one English, one vernacular) and notice to creditors/authorities → RD confirmation filed in INC-28 → INC-22 to the new ROC, which issues a fresh COI reflecting the new state. Timeline runs 2–4 months including the RD stage.
Can creditors block an interstate shift?
They can object before the RD, who ensures debts are secured or consents obtained. Genuine objections are rare and usually resolved by undertakings; the advertisement process exists to surface them early. We prepare the creditor list and responses as part of the petition.
Does CIN change when the registered office changes?
Within a state — no. On an interstate shift, the CIN's state code changes and a fresh certificate is issued. PAN/TAN continue; GST does NOT move — you need fresh GST registration in the new state and cancellation/transfer in the old.
What is the deadline for INC-22?
Within 30 days of the change (15 days for verification of a Section 12 notice scenario at incorporation). Late filing attracts slab-wise additional fees — and worse, a mismatch period where official mail goes to the old address.
What must be updated after ROC approval?
GST core-field amendment (within 15 days), bank records, FSSAI/IEC/shop-licence addresses, letterheads, invoices, website and name boards (Section 12 requires the registered office displayed at premises and on stationery). Our handover checklist covers each with its own deadline.
Can the registered office be a residential address or co-working space?
Yes to both — with the owner's NOC and utility-bill proof (co-working operators provide standard NOC formats). The address must be capable of receiving and acknowledging official communication; it need not be where business operations physically happen.
